The process of merger between Ufone and Telenor Pakistan has finally come to an end. The Islamabad High Court (IHC) has issued its final legal approval for the merger. This allows both telecom companies to move forward with their plans. With this decision, all major legal requirements have now been completed.
Ufone Officially Completes Telenor Pakistan Merger After IHC Approval
Previously, the Pakistan Telecommunications Authority (PTA) had given the final No Objection Certificate (NOC). Following this legal clearance, the companies can now proceed with their operations together as the Ufone-Telenor Pakistan Merger 2026. According to industry sources, this deal is among the largest telecommunications mergers ever seen in Pakistan’s history.
New Company Will Use the e& Brand
After the integration is complete, the company will replace the Ufone and Telenor Pakistan brands with the e& brand. This change is part of the UAE-based e& Group’s global branding strategy. This indicates that the Telenor brand will finally exit from Pakistan after almost two decades of service. The brand identity of Ufone will also cease once the process of integration is complete. The company wishes all of its telecom companies across different nations to use the same global brand name.

Company Becomes Pakistan’s Second-Largest Mobile Operator
After the integration is complete, the Ufone and Telenor Pakistan brands will be replaced by the e& brand. This change is part of the UAE-based e& Group’s global branding strategy. The new organization will become a better competitor to Jazz within Pakistan’s mobile telecommunication sector. Industry analysts are also of the view that the merger will lead to the formation of the biggest telecommunication network infrastructure in Pakistan. The new company will comprise mobile towers, spectrum, transmission systems, and digital infrastructure.
Customers Will Continue Using Services Normally
Customers should not expect any immediate changes under the Pakistan Telecom Complaints Report May 2026. They can continue using their current SIM cards, phone numbers, call packages, internet bundles, and mobile services without interruption. The company will combine its networks, IT systems, customer databases, retail stores, and digital services in phases. Court Found the Merger Meets Legal Requirements
Justice Khadim Hussain Soomro approved the merger under the Companies Act, 2017. The court said the merger meets all legal requirements. It also found that the deal is fair for shareholders and creditors. According to the court, the merger is not against the public interest.
In this regard, the court noted that all secured creditors from both companies have duly submitted their NOCs. The IFC consortium also approved the approval in favor of the Securities and Exchange Commission of Pakistan (SECP). The court also said the merger will protect the interests of the creditors. Furthermore, the shareholders of both companies have also approved the merger in separate meetings held on June 5, 2026. The court also said that all the notices were duly issued before approving the merger.
How the Merger Reached This Stage
The merger took place in December 2023 after PTCL signed an agreement for the acquisition of 100% shareholding of Telenor Pakistan held by Telenor Group. It marked the move of Telenor out of Pakistan as PTCL wanted to strengthen its mobile phone division with Ufone. PTCL completed the purchase on December 31, 2025. Later, the Pakistan Telecommunication Authority (PTA) approved the merger in March 2026. Yet, both companies were working independently till the completion of all other parts of the deal.

Following the latest ruling in court, Telenor Pakistan will no longer remain a legal entity. Pak Telecom Mobile Limited (PTML) will now take over all assets, rights, liabilities, and operations of Telenor Pakistan. The two firms will now proceed with the rest of the formalities with the Securities and Exchange Commission of Pakistan (SECP) and Registrar of Companies. This merger represents a landmark event for Pakistan’s telecommunication industry. This is because it unites two large-scale mobile telecommunications companies and opens up a new era for both their businesses.
